1. Scope
These General Terms and Conditions ("Terms") apply to all contracts between [Company legal name], [Street and number], [Postal code] [City], [Country] ("we", "us") and our customers ("you") concerning the purchase and use of licenses for the El Mirador HMI/SCADA builder software ("Software") through this website. By creating an account you accept these Terms in the version valid at that time. Deviating terms of the customer are not accepted, even if we do not expressly object to them.
2. Account
- You need an account to obtain a license. You must provide accurate information and confirm your email address before the account is activated.
- You must be at least 18 years old or act on behalf of a business.
- You are responsible for keeping your password confidential and for all activity under your account. Tell us immediately at support@mirador.app if you suspect misuse.
3. Plans and conclusion of contract
The Software is currently in a beta phase. During the beta, only the free Beta license is offered: it is free of charge, has no fixed expiry date, and is limited to one per customer. Plans currently offered are shown on the pricing page.
We may introduce paid plans later (for example a monthly subscription or a perpetual license). We will announce this in advance. Paid plans only apply if you purchase them explicitly; the provisions in these Terms on payment, subscriptions and withdrawal apply only to paid plans.
The presentation of plans on this website is not a binding offer. By completing checkout you make a binding offer; the contract is concluded when we confirm payment and issue the license key to your account.
4. License grant
Upon issue (or, for paid plans, upon full payment) we grant you a non-exclusive, non-transferable, non-sublicensable right to use the Software for the term of your plan, in accordance with any separate license agreement shipped with the Software. Each license key may be activated on one machine at a time. You may not:
- share, resell, rent or publish license keys;
- circumvent, disable or tamper with license verification or activation;
- reverse engineer, decompile or disassemble the Software, except where mandatory law allows it;
- use the Software in violation of applicable export control or sanctions law.
The Software checks its license key against our servers on activation and periodically afterwards. This requires an internet connection. To move a license to another machine, contact us.
5. Prices and payment
- Prices are stated in euros. Applicable VAT is shown at checkout.
- Payments are processed by Stripe. We do not see or store your full card details.
- Monthly subscriptions are charged at the start of each billing period. If a payment fails, we may suspend the license until payment is received.
- You can cancel a subscription at any time via the billing portal in your account. Cancellation takes effect at the end of the current billing period; payments already made are not refunded pro rata.
6. Delivery
License keys are delivered electronically to your account immediately after successful payment. There is no physical delivery.
7. Right of withdrawal (consumers)
If you are a consumer in the EU/EEA, you generally have a 14-day right of withdrawal. For digital content not supplied on a physical medium, this right expires once we begin performance, provided you have expressly agreed that performance begins before the withdrawal period ends and have acknowledged that you thereby lose your right of withdrawal. You give this consent at checkout. Business customers have no right of withdrawal.
8. Intended use and your responsibilities
The Software is a tool for building operator interfaces for industrial automation systems. It is not a safety system. You are solely responsible for the design, validation and commissioning of any system you build with it, and for ensuring that safety-relevant functions (e.g. emergency stops, interlocks) are implemented independently of the Software in line with applicable standards. You are responsible for regular backups of your projects and data.
9. Warranty
Beta licenses are provided free of charge and "as is". The beta Software may contain errors and may change at any time. We have no obligation to provide support, fixes or updates for beta licenses; any support is given voluntarily and on a best-effort basis. For paid plans the following applies:
We will remedy reproducible defects in the Software that you report to us in writing with a precise description, at our option by fix, workaround or updated version. We give no warranty for defects caused by improper use, unsupported hardware or operating systems, third-party software, modifications not made by us, or failure to install updates we provide. Statutory warranty rights of consumers remain unaffected. For business customers, the warranty period is twelve months from delivery of the license key.
10. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory product liability law. For slight negligence we are liable only for breach of essential contractual obligations (obligations whose fulfilment makes proper execution of the contract possible in the first place and on which you may regularly rely), limited to the foreseeable damage typical for this type of contract. Otherwise, liability for slight negligence is excluded. In particular we are not liable for loss of data where the damage would have been avoided by proper backups, nor for production downtime or damage to machinery caused by systems you have designed with the Software.
11. Term and termination
Beta licenses run until the beta ends or the service is discontinued. Paid subscription licenses end at the end of the billing period in which you cancel; perpetual licenses do not expire. We may revoke a license without refund if you materially breach these Terms, in particular section 4. You may delete your account at any time by contacting us; active licenses end with the account.
12. Discontinuation and transfer of the project
El Mirador is developed by a small team. If we stop developing the Software, we may transfer the project, including the Software and this service, to a third party who wishes to continue it, or we may discontinue it. In case of discontinuation we will announce this by email and on this website with reasonable notice where possible, after which this website, the license service and all support will be shut down. Because the Software verifies licenses against our servers, it may stop working once the license service is shut down. Mandatory statutory rights for paid plans remain unaffected.
13. Changes to these Terms
We may amend these Terms for future contracts. For running subscriptions we will notify you of changes by email at least 30 days in advance; if you do not object before they take effect, the changes are deemed accepted. We will point out this consequence in the notification. If you object, either party may terminate the subscription at the end of the current period.
14. Governing law and jurisdiction
These Terms are governed by the law of [Country], excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers this choice of law applies only insofar as it does not deprive you of the protection of mandatory provisions of the law of your country of residence. For business customers, the exclusive place of jurisdiction is [City of registered office].
15. Final provisions
